Draft. Bracketed items such as [Company legal name] and [Jurisdiction] are placeholders to be completed by counsel.
1. Who we are
Kocolink is operated by [Company legal name], [registered address] (“we”, “us”). These terms apply to the Kocolink website, the app and related services (the “Service”).
2. Accounts
- You must provide accurate information and keep your credentials secure.
- Brand workspaces are subject to approval. We may decline or suspend a workspace.
- Creators must be at least 18 years old to accept paid collaborations.
- You are responsible for activity under your account and workspace.
3. The marketplace
- We provide tools for brands to publish briefs and for creators to apply, deliver and get paid. Brands and creators contract with each other for each collaboration; we are not a party to the creative work.
- Collaboration terms (deliverables, fee, deadlines, revision rounds, usage rights, disclosure) are those shown on the brief and the order at the time of hiring.
- Communication and payment for collaborations found on the Service must stay on the Service.
4. AI features and credits
- AI features generate suggestions. You are responsible for reviewing outputs before use, including claims and disclosures.
- AI actions consume credits at the rates shown before each action. Credits have no cash value and are not refundable except where stated. [Credit expiry: to be defined.]
5. Fees and payments
- Brand plans: [plan fees and billing terms to be defined].
- A platform commission (currently 12%) is deducted from each paid collaboration fee when it is released. An optional brand service fee may apply as shown at hiring.
- Escrow, release, hold periods, refunds and disputes work as described in the Payments and protection page and the order screens. [Payment services provider and licensing terms to be added before general availability.]
6. Content and usage rights
- Creators keep ownership of their content unless otherwise agreed.
- Brands receive the usage rights stated on the brief (organic only, Spark Ads authorization, or paid-ads whitelisting, for the stated period) once the collaboration is paid.
- You must not upload content you do not have the right to use.
7. Acceptable use
You must not: break the law or TikTok’s community guidelines; post misleading or undisclosed advertising; make prohibited health or financial claims; harass others; attempt to move deals off the platform to avoid fees; scrape or reverse engineer the Service; or interfere with its operation.
8. Suspension and termination
We may suspend or terminate accounts that breach these terms. You may close your account at any time; open orders and balances are settled first.
9. Disclaimers and liability
[Warranty disclaimer, limitation of liability and indemnity clauses to be drafted by counsel.]
10. Changes
We will notify you of material changes before they take effect.
11. Governing law and disputes
[Governing law and venue to be defined.]
12. Contact
[Legal contact email.]
